Terms of Service

These Terms of Service ("Terms") govern your use of the Project Log platform operated by Project Log LLC ("Project Log," "we," "us," or "our"), including the website at projlog.app, the Project Log mobile applications, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Project Log is a multi-tenant software-as-a-service (SaaS) platform designed for service companies (roofing, HVAC, landscaping, and similar trades). The Service provides project management, customer relationship management, invoicing, crew scheduling, and related tools.
The Service is provided on a subscription basis to companies ("Subscribers"). Individual users access the Service through their company's subscription.
2. Accounts
2.1 Account Creation
Accounts are created by company administrators who invite users via email. You may also be invited as a customer by a company that uses the Service to manage their projects with you.
2.2 Account Responsibilities
- You must provide accurate and complete information when creating your account
- You are responsible for maintaining the security of your account credentials
- You must not share your account with others
- You must notify us immediately if you suspect unauthorized access to your account
- You are responsible for all activity that occurs under your account
2.3 Account Types
Users may have different roles (administrator, project manager, sales representative, crew member, customer, and others). Each role has different permissions and access levels within the Service, as determined by the company administrator.
3. Subscriptions and Payment
3.1 Subscription Terms
- Access to the Service requires a paid subscription held by the Subscriber (company)
- Subscriptions are billed monthly or annually, as selected by the Subscriber
- Subscription fees are per company, not per individual user
3.2 Payment
- Subscription fees are billed via Stripe
- The Subscriber is responsible for keeping payment information current
- All fees are stated in U.S. dollars unless otherwise noted
3.3 Price Changes
We may change subscription prices with at least 30 days' advance notice. Price changes take effect at the start of the next billing cycle following the notice period.
3.4 Non-Payment
- If a payment fails, we will attempt to collect the payment and notify the Subscriber
- If payment remains outstanding, the Subscriber's account may be placed in a "past due" state with limited functionality or warning notices
- Continued non-payment may result in suspension or termination of the subscription
3.5 Refunds
Subscription fees are non-refundable except where required by law. If a Subscriber cancels mid-cycle, access continues through the end of the paid period.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the Service or its infrastructure
- Scrape, crawl, or use automated means to extract data from the Service
- Resell, redistribute, or sublicense access to the Service without written permission
- Use the Service to send unsolicited communications (spam)
- Impersonate another person or entity
- Use the Service in any way that could harm minors
5. Data Ownership and Intellectual Property
5.1 Your Data
Subscribers retain ownership of all data they and their users create, upload, or input into the Service ("Subscriber Data"). This includes projects, contacts, invoices, estimates, messages, documents, photos, and all other business data.
We do not claim ownership of Subscriber Data. We process Subscriber Data solely to provide and improve the Service, as described in our Privacy Policy.
5.2 User Content
Individual users retain ownership of personal content they create, including profile information, photos they capture, and messages they write.
5.3 Our Intellectual Property
The Service, including its software, design, features, documentation, and branding (excluding Subscriber Data and user content), is owned by Project Log LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
5.4 Subscriber Branding
Subscribers may upload their company logo, colors, and branding to customize the appearance of the Service. This branding remains the property of the Subscriber.
5.5 License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for the duration of your or your company's active subscription.
5.6 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.
6. Data Processing and Multi-Tenancy
6.1 Data Processor Role
With respect to Subscriber Data, Project Log acts as a data processor. The Subscriber is the data controller. We process Subscriber Data only as directed by the Subscriber and as necessary to provide the Service.
6.2 Data Isolation
Each Subscriber's data is stored in a separate database schema, providing physical isolation between companies. One Subscriber cannot access another Subscriber's data through the Service.
6.3 Multi-Tenant Users
A single user may have accounts with multiple Subscribers (for example, a homeowner who is a customer of two different service companies). Each Subscriber can only access data related to their own relationship with that user.
7. Third-Party Integrations
7.1 Available Integrations
The Service supports integrations with third-party services (Stripe, QuickBooks, EagleView, Google Calendar, and others). Connecting these integrations requires authorization from the Subscriber.
7.2 Third-Party Terms
Your use of third-party integrations is subject to the third party's own terms of service and privacy policy. We are not responsible for the practices, availability, or security of third-party services.
7.3 Integration Credentials
When a Subscriber connects a third-party integration, the necessary credentials (API keys, OAuth tokens) are stored in encrypted form. These credentials are used solely to maintain the integration and are never shared.
8. Mobile Applications
8.1 App Store Terms
The Project Log mobile applications are distributed through the Apple App Store and Google Play Store. Your use of the applications is also subject to the applicable store's terms of service.
8.2 Device Permissions
The mobile applications may request access to device features (camera, push notifications). These permissions are optional and can be managed through your device settings. Specific uses:
- Camera: Used for capturing work photos, project documentation, and document scanning
- Push Notifications: Used for real-time alerts about project updates, messages, and task assignments
8.3 Updates
We may release updates to the mobile applications. While the web-based Service updates automatically, mobile application updates may require action through the app store.
9. Termination
9.1 By Subscriber
A Subscriber may cancel their subscription at any time. Access to the Service continues through the end of the current paid billing period. After the billing period ends, access is terminated.
9.2 By Project Log
We may suspend or terminate a Subscriber's access to the Service if:
- The Subscriber violates these Terms
- The Subscriber's account is delinquent on payment for an extended period
- We are required to do so by law
- We determine that continued access poses a security risk
We will provide reasonable notice before termination except in cases of severe violations or legal requirements.
9.3 Effect of Termination
Upon termination:
- Access to the Service is revoked
- Subscriber Data is retained for 90 days, during which the Subscriber may request an export
- After 90 days, Subscriber Data is permanently deleted
- These Terms survive termination to the extent necessary (sections on intellectual property, limitation of liability, indemnification, and dispute resolution)
9.4 Account Deletion by Users
Individual users may delete their own account at any time through the Service. Account deletion removes the user's personal profile and login credentials. Business data created by the user on behalf of a Subscriber (projects, invoices, messages) is retained by the Subscriber as part of their business records.
10. Disclaimers
10.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Guarantee of Availability
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance, updates, or experience outages that temporarily affect availability.
10.3 Third-Party Services
We are not responsible for the availability, accuracy, or reliability of third-party services integrated with the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT LOG LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, OR ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY THE SUBSCRIBER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
12.1 By Subscriber
The Subscriber agrees to indemnify, defend, and hold harmless Project Log LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:
- The Subscriber's use of the Service
- The Subscriber's violation of these Terms
- The Subscriber's violation of any applicable law
- Any content or data the Subscriber uploads to or creates through the Service
12.2 By Project Log
Project Log LLC agrees to indemnify the Subscriber against third-party claims alleging that the Service infringes the intellectual property rights of a third party, provided the Subscriber notifies us promptly and cooperates in the defense.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.
13.2 Informal Resolution
Before filing any formal legal action, the parties agree to attempt to resolve disputes informally by contacting each other in writing. The parties will have 30 days to attempt informal resolution.
13.3 Jurisdiction
If informal resolution fails, any legal action shall be brought in the state or federal courts located in Indiana. Both parties consent to the personal jurisdiction of these courts.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Project Log LLC regarding the Service.
14.2 Modifications
We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via the Service or email. Continued use of the Service after the effective date of modifications constitutes acceptance.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
14.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
14.5 Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
